Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 8, 2011, the Compensation Committee of the Board of Directors of Cadence Design Systems, Inc. (the “Company”) approved the restoration of the base salary of Lip-Bu Tan, the Company’s President and Chief Executive Officer, back to its fiscal 2009 level at $600,000 per year, effective January 1, 2011. Mr. Tan’s annual base salary had been voluntarily reduced since July 1, 2009.
