Item 8.01       Other Events

      On May 20, 2005, the Company issued a press release announcing that its Board of Directors has adopted a dividend policy. Under the policy, the Board declared a cash dividend of $0.05 per share payable on July 29, 2005 to shareholders of record on July 19, 2005, and announced that it intends to continue to pay quarterly dividends at an annual rate of $0.20 per share. A copy of the press release is attached.
