Item 2.02.  Results of Operations and Financial Condition.

On February 7, 2008, McAfee, Inc. (“McAfee”) issued a press release announcing its results for the fourth quarter and full year ended December 31, 2007, which remain subject to final audit. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby furnished and not filed.  Unless expressly incorporated into a filing of McAfee under the Securities Act of 1933, as amended, or the Securities Exchange Act of 1934, as amended, made after the date hereof, the information contained in this Item 2.02 and in the furnished press release shall not be incorporated by reference into any filing of McAfee, whether made before or after the date hereof, regardless of any general incorporation language in any such filing.
 
Item 8.01.  Other Events.

On February 7, 2008, McAfee announced that its Board of Directors has approved a $750 million stock repurchase program through July 29, 2009. The announcement was made in the press release announcing McAfee’s results for the fourth quarter and full year ended December 31, 2007, attached hereto as Exhibit 99.1.
