Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On June 11, 2009, Maury Magids, the Senior Vice President – Insurance Services of American Physicians Service Group, Inc. (the “Company”), notified the Company that he will resign from his position of Senior Vice President – Insurance Services, effective July 31, 2009.


Tim LaFrey, President and Chief Operating Officer of the Company, will initially assume the duties previously performed by Mr. Magids.
