INFORMATION REQUIRED IN REGISTRATION STATEMENT 

Item 1. Description of Registrant’s Securities to be Registered.

This registration statement relates to the registration of the common stock (the “Common Stock”) of KFx Inc. (the “Registrant”). This registration statement is filed with the Securities and Exchange Commission in connection with the listing of the Common Stock on the NYSE Arca, Inc. (the “NYSE Arca”). The Registrant expects trading of its Common Stock to begin on the NYSE Arca on September 29, 2006.

For a description of the Common Stock registered hereby, the Registrant hereby incorporates by reference the description of the Common Stock set forth under the caption “Description of Capital Stock” in the Prospectus dated February 1, 2006 forming a part of the Registrant’s registration statement on Form S-3 (No. 333-131426) filed with the Securities and Exchange Commission on February 1, 2006.
