ITEM 2.01—Unregistered Sales of Equity Securities

On May 25, 2010, Resource Protection Systems, a wholly owned subsidiary of Garb Oil & Power Corporation, sold all of its holdings (45.7% stake) in SPR S.A. Spain for €150,000 to Minicapital S.L.
