Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 29, 3008 Greg Yanke resigned as a director of Keewatin Windpower Corp. (the “Company”). Mr. Yanke’s resignation was not as a result of any disagreement on any matter relating to the Company’s operations, policies or practices.
