On May 30, 2014, Logility, Inc., which is a wholly-owned subsidiary of American Software, Inc. issued a press release announcing, its acquisition of privately-held MID Retail, Inc., an Indianapolis-based provider of retail allocation and merchandise planning solutions.  The full text of the Earnings Press Release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
