Item 5.02 Election of Director.

On March 21, 2007, American Tower Corporation (the “Company”) filed a Form 8-K (the “Report”) announcing that Ronald M. Dykes had been elected to the board of directors of the Company. This Form 8-K/A amends the Report to include the disclosure that, on July 26, 2007, the board of directors appointed Mr. Dykes to the Audit Committee.
