On October 28, 2011, Heritage Financial Corporation (“Heritage”) issued its earnings release announcing its operating results for the quarter ended September 30, 2011. A copy of the release is furnished herewith as Exhibit 99.1, and is incorporated herein by reference.

On October 28, 2011, Heritage Financial Corporation (“Heritage”) issued a press release announcing a quarterly cash dividend of $0.05. The dividend will be paid on November 10, 2011, to shareholders of record at the close of business on November 23, 2011.
