EXPLANATORY NOTE

This Registration Statement on Form S-8 is filed to register an additional 5,000,000 Common Shares of Goldcorp Inc. (the “Registrant”) under the Goldcorp Inc. Restricted Share Plan, which are the same class as those Common Shares registered under the Registrant’s Registration Statements on Form S-8 filed with the Securities and Exchange Commission (the “Commission”) on June 22, 2005 (File No. 333-126040) and May 29, 2008 (File No. 333-151251). This Registration Statement has been prepared in accordance with General Instruction E of Form S-8 and the previously filed Registration Statements are incorporated by reference in this Registration Statement, except to the extent supplemented, amended or superseded by the information set forth herein.
