Item 7.01 Regulation FD Disclosure.
On September 30, 2015, Ocwen Financial Corporation (the Company) closed on previously announced asset sales of mortgage servicing rights relating to loans with an approximate unpaid principal balance (UPB) of $21 billion, the vast majority of which are performing loans. From proceeds received on September 30, 2015, the Company will pay down approximately $104.3 million of its senior secured term loan (SSTL) on October 1, 2015. Following the pay down, the Company will have approximately $601.6 million outstanding under its SSTL. The transfer of the servicing of the loans is expected to occur in November.
