Item 2.02 Results of Operations and Financial Condition.
On July 1, 2005 iCAD, Inc. (the "Company") issued a press release
announcing its intention to report its financial results for the fiscal quarter
ended June 30, 2005 on July 28, 2005. In the press release the Company stated
that it expected to report revenues of approximately $4.5 million for the
quarter ended June 30, 2005. A copy of the Company's press release is attached
hereto as Exhibit 99.1 and is incorporated herein by reference.
