                       PART III - NARRATIVE

         The Company is in the process of preparing its financial statements
for the period ended June 30, 2002, which management expects to be completed
by August 19, 2002.  The financial statements have to be reviewed by the
Trustee/Receiver and provided to counsel for various parties respecting
litigation that has already been described in the Company's reports and that
may involve a change in control of the Company.
