On February 14, 2011, the Compensation Committee of Ingersoll-Rand plc (the Company) approved the 2010 annual incentive compensation awards (payable in February 2011) for the Companys Named Executive Officers (Messrs. Lamach, Shawley, Hochhauser, Henkel, and Ms. Nachtigal, collectively the NEOs) under the Companys Annual Incentive Matrix (AIM) Program and the equity awards under the Companys Incentive Stock Plan of 2007. The 2010 awards were as follows:

Performance Share Program
Represents target number of Performance Share Units (PSUs). The actual number of shares to be issued, which could range from zero to two times the initial target amount, will depend upon the Companys financial performance during the relevant performance period relative to peer companies in the S&P 500 Industrial Index. The shares, if any, will be issued in the first quarter of 2014.

Merit Increase
The Compensation Committee also approved a 10% merit increase to Mr. Lamachs base salary, which will take effect on April 1, 2011.
