ANNOUNCES EXERCISE OF OVER-ALLOTMENT OPTION
DENVERSeptember 16, 2003Tom Brown, Inc. (NYSE:TBI) today announced that in connection with the public offering of its common stock by Tom Brown and a selling stockholder, the underwriters have exercised their option to purchase an additional 1,425,000 shares to cover over-allotments. The option shares will be sold by the selling stockholder, an affiliate of Unocal Corporation, at the initial price to the public of $25.75 per share. The closing of the sale of the option shares will occur today, simultaneously with the closing of the sale of the initial shares.
Tom Brown will receive no proceeds from the exercise of the over-allotment. After the exercise of the over-allotment, the affiliate of Unocal will own 875,000 (1.8%) shares of Tom Brown common stock.
