On February 21, 2014, Cheng Wang resigned as a member ("Director") of the Board of Directors ("Board") of Zoom Technologies, Inc. (the "Company"). Mr. Wang did not resign as a result of any disagreements with the Company on any matter relating to the Company's operations, policies or practices.
