Item 2.02 Results of Operations and Financial Condition.

On August 3, 2005, 21st Century Holding Company (the "Company") issued a press
release to report its results for its fiscal quarter ended June 30, 2005. A copy
of the press release is attached to this current report on Form 8-K as Exhibit
99.1 and incorporated herein by reference.
Item 7.01 Regulation FD Disclosure.

During the Company's investor conference call on August 3, 2005, commencing at
4:30 P.M., Edward J. Lawson, President and Chairman of the Board, responded to a
question by indicating that the surplus of Federated National Insurance Company
totaled approximately $13.4 million as of June 30, 2005 and the surplus of
American Vehicle Insurance Company totaled approximately $17.6 million as of
June 30, 2005.
