Item 1.01 Entry into a Material Definitive Agreement
On March 7, 2005, Korn/Ferry International (the Company) entered into an amendment to its employment agreement with Paul C. Reilly, the Companys Chairman and Chief Executive Officer. Under the prior employment agreement, dated May 24, 2001, as amended on December 1, 2001, as further amended on July 1, 2003, and as further amended on March 10, 2004 (as amended, the Employment Agreement), Mr. Reilly was entitled to the acceleration of certain unvested benefits upon specified termination events (the Termination Provisions). The Employment Agreement was amended to account for Mr. Reillys participation in the Companys Executive Capital Accumulation Plan (the Accumulation Plan) and to provide for similar treatment of Mr. Reillys Accumulation Plan benefits pursuant to the Termination Provisions.
