Item 1.01 Entry into a Material Definitive Agreement.

On August 2, 2006, the Board of Trustees of Federal Realty Investment Trust (the “Trust”) granted to Ms. Dawn M. Becker, the Trust’s Executive Vice President-General Counsel and Secretary, a one-time cash bonus in the amount of $75,000 payable immediately. The bonus was awarded as payment to Ms. Becker for assuming the responsibility of overseeing the Trust’s West Coast operations in addition to Ms. Becker’s existing responsibilities as General Counsel of the Trust.
