EXPLANATORY NOTE
DEREGISTRATION OF UNSOLD SECURITIES
On July 13, 2016, LSB Industries, Inc., a Delaware corporation (the Company), filed with the Securities and Exchange Commission a Registration Statement on Form S-1 (Registration No. 333-212503) (as amended, the Registration Statement), which was declared effective on October 27, 2016. The Registration Statement registered the resale by the selling stockholders named therein of 4,069,324 shares of the Companys common stock, par value $0.10 per share, issued upon the exercise on May 19, 2016 of warrants to purchase our common stock, which warrants were issued to the selling stockholder in connection with a private placement completed on December 4, 2015.
In compliance with the Companys undertaking in Part II, Item 17(a)(3) of the Registration Statement, the Company is filing this Post-Effective Amendment No. 2 to the Registration Statement to deregister all securities that have not been sold pursuant to the Registration Statement as of the date hereof. Accordingly, as of the effective date hereof, the Company hereby terminates the effectiveness of the Registration Statement and deregisters all securities that remain unsold by the selling stockholders thereunder as of such termination date.
