Item 2.02 — Results of Operations and Financial Condition
On August 6, 2008, Powell Industries, Inc. (NASDAQ: POWL) held a conference call to discuss the
results of its fiscal 2008 third quarter ended June 30, 2008, as reflected in the attached press
release dated August 6, 2008 released earlier that day. A replay of the Company’s audio webcast can
