Item 8.01.  Other Events

OGE Energy Corp. (the “Company”) is the parent company of Oklahoma Gas and Electric Company, a regulated electric utility with more than 782,000 customers in Oklahoma and western Arkansas, and Enogex LLC and its subsidiaries (“Enogex”), a midstream natural gas pipeline business with principal operations in Oklahoma.

On November 1, 2010, the Company issued a press release announcing that the Company and ArcLight Capital Partners (“ArcLight”) have completed the creation of their previously announced Enogex Holdings LLC joint venture, which is owned 90.1 percent by the Company and 9.9 percent by an ArcLight affiliate. Enogex Holdings LLC is the parent company of Enogex and, effective November 1, 2010, OGE Energy Resources LLC, OGE Energy’s natural gas marketing business, was contributed to Enogex by OGE Energy.  For further information, see the press release attached as Exhibit 99.01.
