Item 8.01. Other Events.
On March 3, 2009, AECOM Technology Corporation (the Company) conducted a public offering of 4,000,000 shares of its common stock at a price per share of $20.20, for gross proceeds of approximately $80.8 million.
The Company estimates net proceeds from the offering to be approximately $79.6 million after deducting underwriting discounts and the estimated costs associated with the offering. The Company has granted the underwriters an option to purchase up to an additional 600,000 shares to cover over-allotments, if any.
In connection with this offering, the Company, Morgan Stanley & Co. Incorporated, Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities Inc. have entered into an Underwriting Agreement, a copy of which is filed as Exhibit 10.1 to this current report and is incorporated by reference into this report.
