Item 8.01. Other Events.
On October 27, 2016, XPO Logistics, Inc. (“XPO”) issued a press release announcing that it had completed the sale of its North American truckload business to TransForce Inc. for approximately $558 million in cash, subject to customary adjustments. XPO will use the proceeds from the transaction to pay down debt. The divested truckload operation encompasses approximately 3,000 tractors, 7,500 trailers and 29 locations that were part of the October 2015 acquisition of Con-way Inc.
A copy of the press release announcing the completion of the sale is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
