Item 8.01 | Other Events. |
On April 2, 2008, PECO II, Inc. (the Company) received a letter (the Letter) from The NASDAQ Listing Qualifications Panel (the Panel) informing the Company that the Panel has granted the Companys request for continued listing. This decision was based on the Companys definitive plan submitted to the Panel on February 28, 2008, to effectuate a reverse stock split by seeking shareholder approval of a reverse split of the Companys common stock at a ratio of one-for-10 shares at the Companys 2008 annual meeting on May 6, 2008.
The Panels decision is subject to the following conditions: On or before May 7, 2008, the Company shall inform the Panel that it has obtained shareholder approval for and implemented a reverse stock split; and by May 22, 2008, the Company must have evidenced a closing bid price of $1.00 or more for a minimum of ten prior consecutive trading days in accordance with Marketplace Rule 4310(c)(4).
The Letter also stated that the Company could request that the NASDAQ Listing and Hearing Review Council review this decision. Requests for review must be made in writing and received within 15 days from the date of this decision.
On April 4, 2008, the Company issued a press release announcing its receipt of the Letter. A copy of the Companys press release is attached as Exhibit 99.1 and is incorporated herein by reference.
