On October 28, 2014, Noble Corporation plc, a public limited company incorporated under the laws of England and Wales (the “Company”), announced that its board of directors has authorized the Company to pursue the development of a master limited partnership (“MLP”). The MLP would be comprised of interests in select drilling rigs from the Company’s existing fleet. The Company expects to file a registration statement with the U.S. Securities and Exchange Commission relating to the common units of the MLP during the second quarter of 2015. The anticipated offering would be subject to the final approval of Noble’s board of directors and market conditions. A copy of the related press release issued by the Company is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
