Item 1.01. | Entry into a Material Definitive Agreement. |
On March 10, 2017, XPO Logistics, Inc. (XPO) entered into a Refinancing Amendment (Amendment No. 2 to Credit Agreement) (the Amendment), by and among XPO, its subsidiaries signatory thereto, as guarantors, the lenders party thereto and Morgan Stanley Senior Funding, Inc., in its capacity as administrative agent (the Administrative Agent), amending that certain Senior Secured Term Loan Credit Agreement, dated as of October 30, 2015 (as amended, amended and restated, supplemented or otherwise modified prior to the date hereof, including by that certain Incremental and Refinancing Amendment (Amendment No. 1 to Credit Agreement), dated as of August 25, 2016, the Term Loan Credit Agreement), by and among XPO, its subsidiaries from time to time party thereto, as guarantors, the lenders from time to time party thereto and the Administrative Agent.
Pursuant to the Amendment, the outstanding $1,481,895,000 principal amount of term loans under the Term Loan Credit Agreement (the Existing Term Loans) were replaced with $1,494,000,000 in aggregate principal amount of new term loans (the New Term Loans) having substantially similar terms as the Existing Term Loans, other than with respect to the applicable interest rate and prepayment premiums in respect of certain voluntary prepayments. Proceeds from the New Term Loans were used primarily to refinance the Existing Term Loans and to pay interest, fees and expenses in connection therewith, and up to $1,500,000 may be used for general corporate purposes.
The interest rate margin applicable to the New Term Loans was reduced from 2.25% to 1.25%, in the case of base rate loans, and from 3.25% to 2.25%, in the case of LIBOR loans and the LIBOR floor was reduced from 1.0% to 0%, resulting in a reduction of XPOs cash interest expense in respect of loans outstanding under the Term Loan Credit Agreement of approximately $15 million per year. The New Term Loans will mature on October 30, 2021.
