(1) The Reporting Person received its shares of Common Stock as a distribution from The 500 Group, LLC, pursuant to that certain Funding Agreement, dated as of January 18, 2008, among The 500 Group, LLC, its members (including the Reporting Person), and PubliCARD, Inc., the Issuer's predecessor. Jonathan M. Lewis, a director of the Issuer, is the sole member of the Reporting Person and, as such, may be deemed to beneficially own the shares of Common Stock owned by the Reporting Person.
