On March 8, 2012, Overseas Shipholding Group, Inc. (“OSG”) issued a press release announcing a management promotion. Janice K. Smith has been promoted to Senior Vice President of OSG and will head Governmental Affairs for OSG.   Ms. Smith, OSG’s Chief Risk Officer since 2010, will continue to be responsible for OSG’s risk management.  A copy of such press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
