Item 2.02 - Results of Operations and Financial Condition.

On December 19, 2006, the Registrant issued a press release announcing its financial results for the quarter ended November 30, 2006. A copy of the press release is furnished as Exhibit 99 to this report and is incorporated herein by reference.
 
The non-GAAP information concerning a 10.1% improvement in earnings before interest and taxes over the second quarter of fiscal 2006 was presented by management to provide a better comparison between quarters because of the increase in debt levels incurred since the second quarter of fiscal 2006.
