 Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
As previously reported, on June 14, 2005, the Board of Directors of Horizon Bancorp (the “Company”), the parent company of Horizon Bank, N.A. (the “Bank”), appointed Daniel Buresh to the office of Assistant Treasurer of the Company. Mr. Buresh, age 46, has served as Vice President and Chief Accounting Officer of the Bank since 1999.
 
As Assistant Treasurer, Mr. Buresh has full authority to act as the Treasurer in the event of the absence or inability to act of the Company’s Treasurer.
 
The Company’s Treasurer, James H. Foglesong, is expected to be away from the Company from time to time in the near future for medical reasons. Mr. Buresh will act as the Company’s Treasurer and Chief Financial and Chief Accounting Officer during any absence by Mr. Foglesong.
