8.01. Other Events.
On
December 4, 2009, Tandy Leather Factory, Inc. (the “Company”) announced that its
Board of Directors (the “Board”) approved a new share repurchase program
authorizing the Company to repurchase, in the aggregate, up to one million
shares of the Company’s outstanding common stock. The Board also approved the
termination of its existing share repurchase program. Share repurchases under
the new program will be conducted through a Rule 10b5-1 repurchase plan based
upon parameters set forth in the plan. The press release announcing the new
repurchase program is attached hereto as Exhibit 99.1 and is incorporated herein
by reference.
