On
August 19, 2009, Virco Mfg. Corporation (“Virco”) issued a press release announcing that
its Board of Directors has declared a quarterly cash dividend of $0.025 per share of Common Stock,
which will be payable on September 15, 2009 to stockholders of record on September 1, 2009.
A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by
reference. The information in this Current Report, including Exhibit 99.1 hereto, shall not be
