Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 29, 2008, the stockholders of TFS Financial Corporation (the “Company”) approved the TFS Financial Corporation 2008 Equity Incentive Plan and the TFS Financial Corporation Management Incentive Compensation Plan. These plans provide for the grant of stock-based and other incentive awards to officers, employees and directors of the Company. A description of the material terms of the two plans is contained in the Company’s definitive proxy statement for the special meeting of stockholders dated April 24, 2008. Copies of the two plans are attached hereto as Exhibits 10.1 and 10.2, respectively.
