At the effective time of the merger (defined in the Agreement and Plan of Merger dated January 11, 2009, by and among Abbott Laboratories, Rainforest Acquisition Inc. and the Issuer ("Merger Agreement"), such shares were cancelled pursuant to the Merger Agreement in exchange for the right to receive cash payment of $22.00 per share in cash (without interest and subject to any required withholding taxes). |
