Item 5.02                                             Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On May 20, 2005, Michael J. Cumbo, Executive Vice President & General Manager of Optics, notified the Registrant of his plans to resign in order to accept the position of president and chief executive officer of a high technology, venture capital backed, private company.  Dr. Cumbo’s effective resignation date will be agreed upon between him and the Registrant, but shall not be later than July 8, 2005.  Dr. Cumbo joined Registrant in July 2004.
