| ITEM 1.01 | MATERIAL DEFINITIVE AGREEMENT |
On May 11, 2006, the Board of Directors of Key Tronic Corporation 1) approved an increase in the bi-weekly salary of Craig D. Gates, the Company’s Executive Vice President and General Manager, from $10,642.31 to $11,065.38, effective as of May 14, 2006, and 2) approved an increase in the bi-weekly salary of Efren R. Perez, the Company’s Vice President of Southwest Operations, from $7,307.70 to $7,600.00, effective as of May 14, 2006.
