On January 29, 2009, Embarq Corporation issued a press release announcing the execution of an agreement to sell its wholly-owned subsidiary, Embarq Logistics, to KGP Telecommunications, Inc. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
