Item 8.01 Other Events.
On February 27, 2015, Regions Financial Corporation (“Regions”) announced that Regions Bank, its wholly-owned subsidiary, will purchase $250 million of its issued and outstanding 7.50% Subordinated Notes due 2018 tendered prior to the early tender date and accepted by Regions Bank in connection with Regions Bank’s tender offer announced on February 12, 2015. A copy of the press release announcing this event is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
