Item 8.01 Other Events.

On August 7, 2007, the Company received an early payoff of the long term Note from M&M Engineering, Ltd. made in connection with the Company's disposition of M&M Engineering, Ltd. in the Second Quarter of 2006. The total amount of the payment received in satisfaction of the Note was $829,980.00.
