SELLING STOCKHOLDER Immediately prior to this offering, the selling stockholder owned 24,115,073 shares of our Class A common stock, representing approximately 24.8% of our common stock. UNDERWRITING We and the selling stockholder have entered into an underwriting agreement with Deutsche Bank Securities Inc. with respect to the shares being offered by this prospectus supplement.
