Item 1. Description of Registrants Securities to be Registered
The New York Stock Exchange has accepted the Registrants Common Stock, par value $0.01 per share, for listing. For a description of the securities to be registered hereunder, reference is made to the information set forth in Item 5 of the Registrants Current Report on Form 8-K (the 8-K), filed on July 9, 2003, under the heading Description of Capital Stock, which information is hereby incorporated herein by reference.
In addition to the information provided in the 8-K:
| Each holder of Common Stock in entitled to one vote on each matter submitted to a vote at a meeting of stockholders for each share of Common Stock held of record by such holder as of the record date for such meeting. The Registrants Certificate of Incorporation requires the affirmative vote of at least two-thirds of the outstanding stock of the Registrant of any class or series entitled to vote generally in the election of the directors of the Board in order to amend or repeal certain sections of the Registrants Bylaws and its Certificate of Incorporation. At each annual meeting of the stockholders, the successors to the class of Directors whose term expires at that meeting will be elected by plurality vote of all votes cast at such meeting. All other stockholder actions require the affirmative vote of the holders of a majority of the stock present in person or represented by proxy at the meeting and entitled to vote on the subject matter and which has actually been voted. | ||
| The Registrants Board of Directors is divided into three classes of directors. Each class consists, as nearly as may be possible, of one-third of the total number of such directors. At each annual meeting of shareholders, successors to the class of directors whose term expires at that annual meeting will be elected for a three-year term. |
