On August 12, 2008, Insteel Industries, Inc. (the Company) issued a press release announcing
that its board of directors had declared a regular quarterly cash dividend of $0.03 per share and a
special cash dividend of $0.50 per share on the Companys common stock. The total cash dividend of
$0.53 per share is payable on October 3, 2008 to shareholders of record as of September 19, 2008. A
copy of this release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is
incorporated herein by reference.
The declaration and payment of future dividends, if any, are discretionary and will be
determined by the Companys board of directors each quarter after taking into account various
factors, including general business conditions and the Companys financial condition, operating
results and anticipated cash requirements.
