Item 8.01. Other Events.
On a Current Report on Form 8-K dated December 19, 2008, TOUSA, Inc. (the “Company”) confirmed it was engaged in preliminary discussions regarding a possible transaction with Standard Pacific Corp. (“SPC”), in connection with the pending Chapter 11 case of the Company and certain of its subsidiaries in the United States Bankruptcy Court for the Southern District of Florida, Fort Lauderdale Division. The Company confirms that discussions with Standard Pacific Corporation regarding the acquisition of substantially all of the assets of the Company and those subsidiaries have ceased.
