Item 5.02.  Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers; Compensatory Arrangements of Certain
Officers.  On March 20, 2008, the Board of Directors of The First Bancshares,
Inc. (the "Company") accepted the resignation of Director Perry Parker from the
Company's Board of Directors, effective March 20, 2008.  In addition, Director
A.L. Smith notified the Nominating Committee of his retirement from the Board of
Directors due to his having attained retirement age in accordance with the Company's
board composition guidelines, effective May 22, 2008.  The Board thanks Messrs.
Parker and Smith for their past service to the Company and wishes them well in their
future endeavors.

Item 8.01. Other Events.  On March 20, 2008, the Board of Directors of The First Bancshares,
