Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 30, 2011, First Mariner Bancorp (the Company) received a letter from the NASDAQ Stock Market (Nasdaq) notifying the Company that it has determined to deny the request of the Company for continued listing on Nasdaq. Nasdaq indicated that it would suspend the trading of the shares of Company common stock effective at the open of business on September 1, 2011. The Companys common stock will be quoted on the Over-the-Counter Bulletin Board (OTCBB) starting on September 1. Nasdaqs determination was based on the Companys failure to comply with: (1) Nasdaq Listing Rule 5450(b), which requires maintenance of a minimum of $2.5 million in shareholders equity; and (2) Nasdaq Listing Rule 5450(a)(1), which requires maintenance of a minimum bid price of $1.00 per share. Nasdaqs determination followed an appeal by the Company of Nasdaqs initial delisting determination to a Nasdaq Listing Qualifications Panel on August 25, 2011.
