Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On April 11, 2019, the Compensation Committee of the board of directors of The Middleby Corporation (the Company) approved a form of Stock Award Agreement (the SAA) for stock grants to be awarded to certain participants under the Companys 2011 Long-Term Incentive Plan. Shares granted under the SAA are fully vested as of the time of grant, but are subject to restrictions on sale for certain periods of time, as more fully described therein.
On April 15, 2019, the Compensation Committee of the board of directors of the Company approved a form of Restricted Stock Award Agreement (the RSAA) for stock grants to be awarded to certain participants under the Companys 2011 Long-Term Incentive Plan. The RSAA includes certain performance-based and time-based vesting criteria, as more fully described therein. The RSAA also provides for accelerated vesting of awards upon a Change of Control (as defined in the RSAA) or in the event that the employees employment terminates without Cause (as defined in the RSAA).
