On March 5, 2008, India Globalization Capital, Inc. (the “Company”) announced that the Company’s Special Meeting of Stockholders previously scheduled to be convened on March 6, 2008 at 10:00 a.m., Eastern  Standard Time, will be postponed until 10:00 a.m., Eastern  Standard Time on Friday, March 7, 2008 as the Company continues to seek proxies.  A copy of the press release for such announcement is attached to this Report as Exhibit 99.1.
