Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) On March 28, 2005, James F. Cahill resigned as a director of PriceSmart, Inc. (“PriceSmart”), effective immediately. Mr. Cahill’s resignation was not the result of a disagreement related to any matter involving PriceSmart’s operations, policies or practices.
